These Terms of Service (“Terms”) govern your use of conroar.com and our staffing services. By using our website or services, you agree to these Terms.
If you don’t agree, don’t use our services. Simple as that.
1. About These Terms
Who these apply to:
- Anyone visiting conroar.com (website visitors)
- Companies hiring through Conroar (clients)
- Professionals placed through Conroar (candidates)
What these cover:
- How you can use our website
- Rules for our staffing services
- What we’re responsible for (and what we’re not)
- How disputes get resolved

2. The Basics
2.1 Who We Are
Conroar is a remote staffing company connecting businesses with talented professionals from India. We specialize in digital marketing, tech, and operations roles.

2.2 Acceptance of Terms
By using Conroar’s website or services, you agree to:

If you’re using our services on behalf of a company, you represent that you have authority to bind that company to these Terms.
2.3 Changes to Terms
We may update these Terms when:
- Our services change
- Legal requirements change
- We expand to new markets
When we update:
- “Last Updated” date changes
- Continued use = acceptance of new terms
- Major changes will be emailed to active clients and candidates
3. Website Usage
3.1 Permitted Use
You can use conroar.com to:
- Learn about our services
- Browse job openings or talent profiles
- Submit inquiries or applications
- Access resources and content
3.2 Prohibited Use
You cannot:
- Scrape or copy our content without permission
- Use automated bots or tools to access the site
- Attempt to hack, disrupt, or exploit vulnerabilities
- Impersonate Conroar or our users
- Post malicious code, spam, or illegal content
- Violate any applicable laws
- Use our platform to compete with us
Violation consequences: We’ll terminate your access immediately and may pursue legal action.
3.3 User Accounts
If you create an account:
- Provide accurate information
- Keep your password secure
- Don’t share your account
- Notify us immediately of unauthorized access
We can suspend or terminate accounts that violate these Terms.
4. Staffing Services
4.1 How It Works
For Clients:
- You submit hiring requirements
- We source and vet candidates
- We present qualified profiles
- You interview and select candidates
- We facilitate onboarding and employment
For Candidates:
- You submit your CV and profile
- We assess your skills and experience
- We match you with relevant opportunities
- You interview with potential clients
- We facilitate placement and ongoing support
4.2 No Guarantees
We make reasonable efforts to match clients with qualified candidates, but we cannot guarantee:
- Specific placement timelines
- Perfect matches on first try
- Candidate performance after placement
- Long-term retention
This is talent matching, not magic. Success requires effort from all parties.
4.3 Candidate Vetting
We vet candidates through:
- Resume and portfolio review
- Skills assessments (when applicable)
- Reference checks
- Interview processes
However: We cannot verify every claim or guarantee future performance. Clients should conduct their own due diligence during interviews.
4.4 Trial Periods
Most placements include a trial period (typically 30-90 days) where:
- Either party can terminate with shorter notice
- Performance is evaluated
- Fit is assessed
Specific terms are outlined in individual service agreements.
5. Client Terms
5.1 Service Fees
Clients pay Conroar a monthly fee for placed talent, which includes:
- Candidate salary
- Conroar’s service fee
- Administrative overhead
- Ongoing support
Pricing:
- Detailed in individual proposals
- Billed monthly in advance
- Subject to annual adjustments (with 60 days notice)
5.2 Payment Terms
Due date: Within 15 days of invoice
Late payments: 2% monthly interest on overdue amounts
Suspension: Services may be suspended for accounts 30+ days overdue
Currency: USD (or as agreed in writing)
5.3 Cancellation & Termination
By Client:
- 30 days written notice required
- Pay for current billing period
- Accrued fees are non-refundable
By Conroar:
- 30 days written notice for termination
- Immediate termination for non-payment or breach
- Refund of prepaid, unused services
5.4 Client Responsibilities
Clients must:
- Provide accurate job requirements
- Respond to candidate submissions within reasonable timeframes
- Treat candidates professionally during interviews
- Provide necessary tools, access, and onboarding
- Not attempt to hire Conroar candidates outside our agreement (see 5.5)
5.5 Direct Hire Restrictions
If a client wants to hire a Conroar-placed candidate as a direct employee:
During placement: Requires written approval + buyout fee (typically 3-6 months of monthly fees)
After placement ends:
- If candidate worked < 24 months: Buyout fee applies
- If candidate worked 24+ months: No fee (candidate is free to negotiate directly)
This protects our business model while being fair to long-term relationships.
5.6 Client Confidentiality
Clients may share confidential information with placed candidates. Candidates sign NDAs, but clients should:
- Use appropriate access controls
- Not share highly sensitive data unnecessarily
- Have their own security measures
Conroar is not liable for breaches caused by client’s own security failures.
6. Candidate Terms
6.1 Employment Status
Important: When placed with a client, you are typically an employee of Conroar, not the client company (unless otherwise specified in writing).
This means:
- Conroar handles payroll, taxes, benefits
- You report to the client for work, but Conroar for HR/admin
- Client cannot terminate you without coordinating with Conroar
Exceptions: Some placements may be direct employment with the client. This will be explicitly stated.
6.2 Compensation
Salary:
- Agreed upon in your offer letter
- Paid monthly by Conroar
- Subject to applicable taxes and deductions
Payment schedule: Typically first week of each month for previous month’s work
Currency: INR (Indian Rupees) unless otherwise specified
6.3 Work Expectations
Candidates must:
- Fulfill agreed-upon hours and responsibilities
- Meet performance standards
- Communicate proactively with client and Conroar
- Maintain professional conduct
- Comply with client’s reasonable policies
Remote work requirements:
- Reliable internet connection
- Professional work environment
- Overlap hours with client’s timezone (as agreed)
6.4 Termination
By Candidate:
- 30 days written notice (or as specified in offer letter)
- Complete handover of work
- Return any client equipment or access
By Conroar/Client:
- 30 days written notice (outside trial period)
- Immediate termination for cause (misconduct, breach, poor performance)
Severance: As required by Indian labor laws or as specified in offer letter
6.5 Non-Compete & Non-Solicitation
During placement:
- Cannot work for competing clients
- Cannot solicit Conroar’s other clients or candidates
After placement:
- No non-compete (you’re free to work anywhere)
- Cannot solicit Conroar’s clients or candidates for 12 months
- Cannot recruit Conroar talent for competing services for 12 months
6.6 Confidentiality & IP
Confidentiality:
- You’ll sign an NDA covering client information
- Maintain confidentiality during and after placement
- Don’t share client strategies, data, or proprietary information
Intellectual Property:
- Work created for clients belongs to the client
- Exception: Your pre-existing personal work remains yours
- Can use generic experience for portfolio (with client approval)
7. Intellectual Property
7.1 Conroar’s IP
We own:
- Conroar website, brand, and logo
- Our proprietary matching processes
- Marketing materials and content
- Software and tools we’ve developed
You cannot:
- Use our brand or logo without permission
- Copy our website design or content
- Reverse engineer our processes
- Create derivative works
You can:
- Link to our website
- Share our content with attribution
- Reference your work with Conroar on your resume
7.2 User-Generated Content
When you submit content to us (CV, portfolio, testimonials):
- You retain ownership
- You grant us license to use it for placement and marketing
- We can display it on our website and pitch materials
- You can revoke this license by requesting removal
7.3 Feedback & Suggestions
If you suggest improvements or ideas:
- We appreciate it (genuinely)
- We’re free to use them without compensation
- You don’t get ownership of implemented ideas
Why: Otherwise, every suggestion becomes a negotiation, and nobody wants that.
8. Disclaimers & Limitations
8.1 Service “As Is”
Conroar’s services are provided “as is” and “as available” without warranties of any kind, including:
- No guarantee of specific placement outcomes
- No guarantee of candidate performance
- No guarantee of uninterrupted service
- No guarantee of error-free operations
Translation: We do our best, but we’re not perfect. Use reasonable judgment.
8.2 No Employment Guarantees
For Candidates:
- We cannot guarantee placements
- We cannot guarantee specific salary levels
- We cannot guarantee job security beyond trial periods
For Clients:
- We cannot guarantee candidate availability
- We cannot guarantee specific skill levels (beyond what’s verified)
- We cannot guarantee cultural fit
8.3 Third-Party Services
We integrate with third-party tools (LinkedIn, Google, payment processors). We’re not responsible for:
- Their downtime or failures
- Their data breaches
- Their policy changes
- Their service quality
8.4 Limitation of Liability
Maximum liability: The total amount paid to Conroar in the 12 months prior to the claim
We are not liable for:
- Indirect, consequential, or punitive damages
- Lost profits or business opportunities
- Data loss or corruption
- Third-party claims
- Force majeure events (natural disasters, war, pandemics, etc.)
Exceptions: We are liable for gross negligence, fraud, or where law prohibits limitation
Translation: If something goes wrong, we’ll make it right within reason, but we can’t be responsible for every possible consequence.
9. Indemnification
You agree to indemnify Conroar (meaning: cover our legal costs and damages) if:
- You violate these Terms
- You violate laws or third-party rights
- Your actions cause us legal trouble
- False information you provided causes harm
We agree to indemnify you if our negligence or misconduct causes you direct harm (subject to limitation of liability).
10. Dispute Resolution
10.1 Informal Resolution First
Before filing any legal claim:
- Email us at info@conroar.com with details
- We’ll schedule a call within 5 business days
- We’ll attempt good-faith resolution for 30 days
Most disputes can be resolved through conversation. Let’s try that first.
10.2 Governing Law
These Terms are governed by the laws of India.
Jurisdiction:
- For Indian residents: Courts of [New Delhi, India]
- For international clients: As specified in individual service agreements (may be arbitration)
10.3 Arbitration (Optional)
For disputes exceeding ₹10,00,000 or $25,000:
- Either party can demand binding arbitration
- Single arbitrator, governed by Indian Arbitration and Conciliation Act
- Arbitration in [New Delhi, India]
- Each party bears own costs
Small claims court: Either party can pursue claims under small claims limits in their jurisdiction.
10.4 Class Action Waiver
No class actions. All disputes must be brought individually.
11. Termination
11.1 By You
You can stop using our services anytime by:
- Not renewing your contract (clients)
- Resigning with proper notice (candidates)
- Simply not visiting our website (website users)
11.2 By Us
We can terminate or suspend your access if:
- You violate these Terms
- You engage in fraudulent activity
- Your account is inactive for 2+ years
- We discontinue services (with 60 days notice)
11.3 Effect of Termination
Upon termination:
- Outstanding fees remain due
- Confidentiality obligations continue
- Licenses we granted you are revoked
- We may delete your account data (see Privacy Policy for retention)
12. General Provisions
12.1 Entire Agreement
These Terms, plus any written agreements (service agreements, offer letters), constitute the entire agreement. No verbal promises override these written terms.
12.2 Severability
If any provision is found unenforceable, the rest remains in effect.
12.3 No Waiver
If we don’t enforce a provision once, that doesn’t mean we’ve waived the right to enforce it later.
12.4 Assignment
You cannot transfer your rights or obligations under these Terms without our written consent.
We can assign these Terms to an acquirer if Conroar is sold or merged.
12.5 Force Majeure
Neither party is liable for delays or failures due to events beyond reasonable control (natural disasters, war, pandemics, government actions, internet outages, etc.).
12.6 Notices
To you: Email to the address you provided (or physical mail if required)
To us: info@conroar.com (or registered mail to our business address for legal notices)
12.7 Survival
Provisions that should survive termination (confidentiality, IP, payment obligations, liability limitations) remain in effect.
12.8 Relationship
Independent contractors: Nothing in these Terms creates a partnership, joint venture, or agency relationship between parties.
For candidates: You may be an employee of Conroar, but Conroar and clients are independent entities.

14. Acknowledgment
By using Conroar’s website or services, you acknowledge that:
- You’ve read these Terms
- You understand these Terms
- You agree to be bound by these Terms
- You have authority to enter into these Terms (if representing a company)
If you don’t agree: Please don’t use our services.
Use our services fairly. Pay on time. Be professional. Don’t do anything illegal or shady. If something goes wrong, let’s talk and figure it out. Most of this legal stuff will never matter, but it’s here to protect everyone.
